These Terms and Conditions (“Terms”) govern your use of the Soil Health AI coaching app (the “App”) provided by Soil Health, a self-owned and self-funded company registered in Denmark under registration number DK45048381 (“we,” “our,” or “us”). By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, you must not use the App.

1. Eligibility & Accounts

• You must be at least 18 years old to use the App.

• You may only create an account for yourself. Accounts cannot be created or used on behalf of another person.

• When registering, you must provide a valid email address that you own and can access. We use standard verification methods to confirm ownership of the email.

• You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

2. Purpose of the App

The App provides AI-powered coaching designed for general personal development purposes. It is not a substitute for professional mental health services.

• If you are experiencing mental health concerns, you should consult a qualified professional.

• We do not provide medical, psychiatric, or therapeutic advice.

3. User Conduct

You agree not to:

• Use the App for unlawful, harmful, or fraudulent purposes.

• Copy, modify, reverse-engineer, or attempt to gain unauthorized access to the App.

• Interfere with the operation or security of the App.

We may suspend or terminate accounts that violate these rules.

4. Intellectual Property

• All rights, title, and interest in and to the App, its design, branding, content, and technology belong to Soil Health.

• You are granted a limited, non-transferable license to use the App for personal, non-commercial purposes only.

• Any user-generated content (such as coaching transcripts, reflections, or notes) remains your property but will be handled in accordance with our Privacy Policy.

5. Subscription, Payments & Refunds

• The App is available on a subscription basis. Pricing and billing cycles are disclosed in the App Store or Play
  Store at the time of purchase.

• Subscriptions are managed through your Apple App Store or Google Play account.

• Cancellations: You may cancel your subscription at any time through your App Store/Play Store account settings. Access will continue until the end of the current billing period.

• Refunds: Refunds are subject to the policies of the Apple App Store or Google Play. We do not issue refunds directly.

We may update or change subscription pricing, billing cycles, or included features from time to time. Any changes will be communicated in advance in accordance with Section 10 (Changes to the Terms). You will have the right to cancel your subscription before the changes take effect.

6. Fair Use Policy

Your subscription grants you access to use the App in a manner consistent with the purpose of personal coaching and in fair proportion to the subscription fee paid.

Because the App relies on third-party technology providers, we incur direct operational costs (such as processing usage tokens) for each coaching interaction. To ensure service availability for all users, we apply a
Fair Use Policy:

• Subscriptions are intended for reasonable personal use only.

• Excessive usage that significantly exceeds the average patterns of typical users may be considered a breach of fair use.

• If your usage is deemed excessive in a way that materially increases our direct technology costs, we reserve
  the right to:

  • Request that you reduce usage to a fair level,

  • Offer you an alternative subscription plan more aligned with your usage, or

  • In rare cases, suspend or terminate access if fair use is consistently exceeded.

We also reserve the right to update or adjust subscription terms (including for annual plans) if it becomes clear that typical user usage substantially exceeds what the subscription fees were designed to cover. In such cases, you will be notified of the change, and you may cancel your subscription before any changes take effect.

7. Disclaimers

• The App is provided “as is” and “as available” without warranties of any kind.

• We do not guarantee uninterrupted, error-free, or completely secure access.

• We do not warrant that the coaching insights are accurate, complete, or suitable for your specific
  circumstances.

8. Limitation of Liability

To the maximum extent permitted by law:

• Soil Health will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App.

• Our total liability for any claim relating to the App will not exceed the amount you paid for the App in the twelve (12) months prior to the claim.

9. Termination

• You may stop using the App and cancel your subscription at any time through your App Store/Play Store account.

• We may suspend or terminate your account if you violate these Terms or misuse the App.

• Upon termination, your right to use the App ends immediately.

10. Changes to the Terms

We may update these Terms from time to time. If material changes are made, we will notify you by:

• Updating the Terms in the App Store listing, and

• For significant changes, by email or in-app notifications.

Continued use of the App after changes take effect constitutes acceptance of the new Terms. If the changes affect your subscription (for example, pricing or usage limits), we will provide at least 30 days’ notice by email or in-app notification before the change takes effect.

11. Governing Law

These Terms are governed by and construed under the laws of Denmark, without regard to conflict of law principles.
